Draft for legal review

This is a working draft prepared to capture the new commercial model. It is not legal advice and must be reviewed by a qualified lawyer in each jurisdiction where Enterprise League operates before publication. Bracketed items need input. Consumer-protection, auto-renewal, and distance-selling rules vary materially between the US, UK, and EU.

1. Who we are

Enterprise League is operated by ORB 19 Consulting Ltd, a private limited company registered in England and Wales under company number 14729714, with its registered office at Flat 38, 39 Melliss Avenue, 38 Aura House, London, TW9 4BX, United Kingdom ("Enterprise League", "we", "us").

By creating an account or using the platform, you agree to these terms. If you are agreeing on behalf of a company, you confirm you have authority to bind it.

2. Your account

You must be at least 18 and legally able to enter contracts. You are responsible for the accuracy of the information you provide and for activity under your account. Tell us promptly if you believe your account has been accessed without authorisation.

Business use. Enterprise League is intended for businesses and persons acting for purposes relating to their trade, business, craft or profession. By creating a company account or purchasing a paid service, you represent that you are acting for business or professional purposes and not primarily as a consumer.

3. Company profiles

A company profile is free to create and maintain. You are responsible for everything published on your profile, including that it is accurate, that you hold the rights to any logos or images you upload, and that it does not mislead.

We may edit, unpublish, or remove a profile that breaches these terms, contains unlawful content, or misrepresents a business.

4. Products and services on your profile

You may list the products and services your company offers as part of your company profile. These listings exist to describe your business to other users. They are not offers for sale, and Enterprise League does not process transactions, hold funds, or act as an intermediary between businesses.

Any dealings that follow from a listing are strictly between the businesses involved. We are not a party to them and give no warranty about any company, product, or service listed.

Note: the former Marketplace has been withdrawn. Existing listings migrate to company profiles. Confirm with counsel whether any prior marketplace terms created obligations to users that survive withdrawal, and whether a migration notice is required.

5. What is free

Creating an account, publishing a company profile, listing your products and services, appearing in the directory, searching for companies, and messaging other members are all free of charge. There is no subscription required to use Enterprise League.

Three optional paid items exist. Each is described below, and you will never be charged for any of them without choosing them first. All three are recurring subscriptions that continue until you cancel.

ItemPriceRecurs?
Verification badge$4 per monthYes — monthly, until cancelled
Award activation$29 per award yearYes — annually, until cancelled
Boost$49 per monthYes — monthly, until cancelled

6. Verification badge — $4 per month

Verification confirms that a company is a real, trading business. We review the documentation you submit and, if satisfied, add a verification badge to your profile.

The fee is $4 per month, charged when you activate verification and monthly thereafter until you cancel. The badge remains on your profile while your subscription is active, your account is in good standing, and the information underlying it stays accurate.

Billing terms for verification

  • $4 per month, charged when you activate verification and monthly thereafter until you cancel.

  • Cancel any time, in one step, from your account settings. Your badge stays live until the end of the month you have paid for, and you are not charged again.

  • We email you before each renewal, stating the amount and the date.

Verification is a check we carry out, not something you can buy the outcome of. Paying the fee does not make a company verified — we verify first, and the subscription displays the badge. We may withdraw verification at any time if we later find the information was false.

7. Awards — $29 per award year

Anyone may apply for an Enterprise League Award. Applying is free. Applications are reviewed against the published standard for each award, and a decision is normally issued within 48 hours. Approval is not guaranteed, and we do not accept payment in exchange for an award.

Billing terms for award activation

  • $29 per award year. Charged when you activate your badge, and automatically each year on the anniversary to carry your recognition into the following award year, until you cancel.

  • You choose to activate. Approval alone never triggers a charge. You have 14 days from approval to activate; after that the approval expires.

  • We remind you before every renewal. We email you at least 30 days before each annual charge, stating the amount and date.

  • Cancel any time, in one step, from your account settings. No phone call, no retention flow.

  • If you cancel, your badge stays live until the end of the award year you have paid for. It is not removed early, and you are not charged again.

These terms are also shown next to the payment button before any billing information is collected. If what is shown there ever differs from this section, the wording shown at the point of payment governs.

Compliance note: under ROSCA (US), the material terms above — recurring amount, frequency, first charge date, and how to cancel — must appear immediately next to the payment mechanism, not only here. Do not describe the award activation, verification, or Boost as "one-time" or "no subscription" anywhere on the site — all three now recur. Several US states, the UK (DMCC Act) and the EU impose additional pre-contract and reminder duties.

8. Boost

Boost raises the prominence of your company profile in search results. It is optional and available on demand.

Boost applies to the categories and location already recorded on your company profile — you do not select them separately, and we do not promote your profile in categories your business does not belong to. Where more than one company is boosted in a category, boosted profiles are shown in a randomised order that is reshuffled each time results load, so prominence is shared between them. We may limit the number of boosted companies in any category, and may close a category to new Boosts when that limit is reached.

Billing terms for Boost

  • $49 per month, charged when you start a Boost and monthly thereafter until you cancel.

  • Cancel any time, in one step, from your account settings.

  • If you cancel, your Boost runs to the end of the month you have paid for. You are not charged again.

  • Boost affects placement only. It does not influence whether you receive an award, or whether you are verified.

Open: price not yet set. Also confirm whether a free Boost earned through referral auto-converts to a paid monthly subscription at the end of its term. If it does, that is a free-to-pay conversion and is squarely within ROSCA — it requires express informed consent before the first charge, not just acceptance of these terms. The simplest compliant design is that earned Boosts simply expire.

9. Referrals

When a company you invite creates an account and completes its profile, we credit you with one free month of Boost. Credits have no cash value, cannot be transferred or exchanged, and may expire 12 months after being issued.

We may withhold credits, and may suspend accounts, where invitations are sent in bulk, to people who did not ask for them, or to accounts created to generate credits.

10. How search results are ordered

Search results are ordered by relevance to the search performed. Two factors can raise a company's position:

  • Awards. Companies holding a current Enterprise League Award are given priority placement within their sector. This placement is earned, not purchased — the award itself cannot be bought.

  • Boost. Companies running a Boost are given increased prominence. This placement is paid for.

Boosted results are labelled as such wherever they appear, so you can always tell paid prominence from earned recognition.

Product requirement, not just legal: boosted results must carry a visible label. FTC guidance on native advertising requires paid placement to be identifiable, and unlabelled paid ranking alongside awarded ranking would also devalue the award — you would be selling the position the award is supposed to confer.

11. Fair use of the platform

We apply reasonable limits to messaging, invitations, listings, and other activity to keep the platform free of spam and abuse. These limits are set at levels the great majority of members will never reach, and we may adjust them without notice.

You must not scrape the platform, resell access to it, send unsolicited bulk messages, create accounts for companies you do not represent, or use Enterprise League to distribute unlawful or misleading content.

12. Payments, renewals, and refunds

Payments are processed by Stripe. Prices are in US dollars and exclude any taxes that may apply in your jurisdiction.

Open — currency and VAT: Enterprise League is operated by a UK company (ORB 19 Consulting Ltd) but prices are displayed in US dollars. Confirm with counsel and your accountant: (a) whether UK/EU consumer-facing prices must be shown inclusive of VAT, and in which currency; (b) UK VAT registration and the VAT treatment of digital services supplied to UK, EU, and non-EU customers; (c) whether prices should be presented in GBP/EUR for UK/EU buyers.

Renewals

Award activation renews annually and Boost renews monthly, each until cancelled. Before each renewal we will email you the amount and the date of the charge. You can cancel at any time from your account settings, and cancellation takes effect at the end of the period you have already paid for.

Refund Policy

Enterprise League’s paid features and services, including Verification, Award activations, Boost, featured or promoted placements, badges, promotional assets and other visibility or recognition services, are provided for business and professional purposes.

Except where required by applicable law, all fees are non-refundable once Enterprise League has commenced providing the relevant service.

For Verification, the service is considered to have commenced once the verification review or processing has begun. The verification fee covers the review process and does not guarantee that a business will successfully qualify for verification.

For Award activations, the service is considered to have commenced once the award, badge, certificate, recognition, promotional asset or associated profile feature has been activated or made available.

For Boost and other promotional placements, the service is considered to have commenced once the promotional period begins.

Cancelling a recurring Boost or promotional service prevents future renewals but does not entitle you to a refund or pro-rata refund for the current billing period. We may issue a refund where we have charged you more than once for the same purchase, charged an incorrect amount, are unable to provide the purchased service, or where a refund is otherwise required by applicable law. By purchasing a paid service, you confirm that you are purchasing it for purposes relating to your trade, business, craft or profession. If mandatory consumer cancellation rights nevertheless apply to you, those statutory rights are not affected by these Terms. Where permitted by law, by requesting that a service begins immediately you expressly request performance during any applicable cancellation period and acknowledge that your cancellation rights may be reduced or lost once the service has been fully performed.

13. Content and intellectual property

You keep ownership of everything you upload. You grant us a non-exclusive, worldwide, royalty-free licence to host, display, and distribute that content for the purpose of operating and promoting the platform. This licence ends when you delete the content, save for copies retained in backups or where we are required to keep them.

Award badges

A badge is licensed to you, not sold. While your award is active you may display it on your website, in documents, in email signatures, and on social media. You may not alter it, use it to imply an award you do not hold, or continue to display it after it lapses. We may require its removal if you do.

The Enterprise League name, logo, and badge designs remain our property.

14. Suspension and termination

You may close your account at any time. We may suspend or close an account that breaches these terms, and will tell you why unless we are prevented from doing so by law.

If we close your account other than for a breach by you, we will refund any unused portion of a paid period.

15. Liability Cap and Exclusions

Limitation of Liability. To the fullest extent permitted by applicable law, Enterprise League will not be liable for any indirect, incidental, special, consequential or punitive loss or damage, or for any loss of profits, revenue, business, opportunities, anticipated savings, goodwill, reputation or data arising out of or relating to the Platform or any paid service. Enterprise League does not guarantee that a company profile, Verification, Award, Boost, featured placement or other promotional service will generate any particular number of profile views, website visits, enquiries, leads, customers, sales, search-engine rankings or other commercial results.

To the fullest extent permitted by law, Enterprise League’s total aggregate liability arising out of or relating to these Terms, the Platform or any paid service will not exceed the greater of: (a) the total fees you paid to Enterprise League during the 12 months immediately preceding the event giving rise to the claim; or (b) US $100.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

16. Changes to these terms

We may update these terms. If a change materially affects you — in particular any change to a price, a billing frequency, or how you cancel — we will give you at least 30 days' notice by email before it takes effect, and you may cancel before then without charge.

17. Governing law and contact

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Consumer users may have the right to bring proceedings in their own country — counsel to confirm.
